TERMS AND CONDITIONS OF USE

INTRODUCTION

These Terms and Conditions of Use (“Terms of Use”) is a legal contract between NIDO HUB PRIVATE LTD (“NIDO HUB”, “We”, “we” or “Us”, “us” or “Our”, “our”) and you (“You”, “you” or “your”, “Your”), a User (as defined below). These terms govern the use of website being https://getnestology.com (the “Website”) and its related mobile application named Nestology (the “APP”) and any other services and products that we may provide now or in the future (collectively, “Platform”). These Terms of Use governs your use of the Platform through any mode of computers, tablets, mobile or any other storage/transmitting device.

The Platform is operated and owned by NIDO HUB PRIVATE LTD, an Indian private limited company bearing CIN U55101HR2025PTC128514 and having its registered address at D 35a A/2 B-906, K G, Sec 48, Noida, Gautam Buddha Nagar, Noida, Uttar Pradesh, India, 201301.

The Platform provides educational content, consultations, community support, products, technology-enabled solutions and other related products and services to assist parents and legal guardians in supporting the growth and development of the intelligence of their child aged between 0 to 3 years based on the principles of early childhood development.

We may update these Terms of Use from time to time to reflect new practices or technologies that impact use of the Platform. The date of the last revision or update appears at the top under the title. PLEASE READ THIS TERMS OF USE CAREFULLY. BY REGISTERING FOR, ACCESSING, BROWSING, OR USING THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THIS TERMS OF USE. IF YOU DO NOT AGREE WITH THESE TERMS OF USE THEN DO NOT USE THE PLATFORM.

2. DEFINITIONS

2.1 “Applicable Law” shall mean all applicable Indian laws, by-laws, rules, regulations, orders ordinances, protocols, codes, guidelines, policies, notices, directions, judgments, decrees or other requirements or official directive of any governmental authority or person acting under the authority of any governmental authority of India;

2.2 “Content” shall include (but is not limited to) any data, content, images, videos, location data, software, Materials or other materials or information of any type that is available through the Platform;

2.3 “Government Authorities” shall mean any government or political subdivision thereof; any department, agency or instrumentality of any government or political subdivision thereof; any court or arbitral tribunal; and any regulatory authority and the governing body;

2.4 “Intellectual Property Rights” shall mean all registered and unregistered rights in all forms of intellectual property subsisting under the laws of India;

2.5 “Interactive Community” shall mean the interactive online forum on the Platform designed for parents to engage in discussions, share experiences, and seek guidance;

2.6 “Products” shall mean the diverse range of products pertaining to the development of the child that are listed on the Platform and sold via external links provided on the Platform;

2.7 “User Data” shall mean any and all information relating to the User provided to the Platform by the User at his sole discretion in order to use the Platform;

2.8 “User Content” shall mean Content that the Users upload, share or transmit to, through or in connection with the Platform;

2.9 “User/ Users” shall mean any parent, child guardian or any other person who visits, accesses and registers on the Platform;

2.10 “Website” shall mean the website https://getnestology.com; and

2.11 “Services” shall mean and include the services provided by us through our Platform.

3. SERVICES, PRODUCTS AND RELATED ACTIVITIES

The Platform provides the following Services, Products and activities:

  • Online Consultation: Our child development specialist provides you one-on-one consultations focussed on the early childhood development activities guidance for your child through live sessions (Zoom or other platforms).
  • Product listing: Various range of Products pertaining your child's early childhood development are listed and advertised for sale on the Platform.
  • Interactive Community: The interactive online forum on the Platform enables Users to engage in discussions, share experiences, and seek guidance.
  • Educational Hub: The Platform provides educational resources, training guides, and educational videos and other materials related to the early childhood development for your child.
  • Home visit consultation: Our Platform enables online bookings for one-on-one home visit consultation provided by our child development specialist.

ELIGIBILITY TO USE THE PLATFORM

You must be legally competent for entering into a binding contract under Applicable Law. If you are under the age of 18 years, you are not eligible to register for the Platform.

MODIFICATION

We may amend or update or change these Terms of Use time to time entirely at our own discretion to reflect new practices or technologies that impact use of the Platform.

USER ACCOUNT AND SECURITY

If you wish to access our Platform, then you will be required to provide registration information to create an account. You agree that you are eligible to create and use only one account with one User profile.

You can delete/unregister your account anytime by submitting a request to [email protected].

USER CONTENT

You may upload or post User Content that either was created by you entirely or legally belongs to you. By uploading, posting, submitting or transmitting User Content using our Platform you permit Us the right to store and use such User Content.

CONTENT POSTED ON THE PLATFORM

You understand that any material, Content and its arrangements that appears as “Our content” on the Platform are owned by or licensed to Us, subject to copyright or other Intellectual Property Rights held by third parties.

LICENSE GRANT

Subject to the terms and conditions of this Terms of Use, We grant you a personal, limited, non-exclusive, non-transferable, non-sub-licensable, revocable license to access the Platform.

USAGE OF THE PLATFORM

  • Authority: You represent that you agree that you are permitted to use the Platform under Applicable Law.
  • Use of Platform: You must follow any guidelines or policies associated with the use of the Platform. You must not misuse or interfere with the Platform.
  • Zoom Meetings and Live Online Sessions: You shall treat all live sessions as Confidential Information. You shall not record, capture, reproduce or distribute the content of live sessions without prior written consent.
  • Online Content Protection: You shall not copy, modify, download, redistribute or create derivative works of the online course materials without prior written consent.

RESTRICTIONS

You agree not to defeat, damage or interfere with any security feature of our Platform; cheat, use deceptive methods; alter or modify any Content; reproduce, duplicate, copy, sell, trade, or exploit for commercial purposes; or use automated systems to generate communications.

12. NO LIABILITY

We do not make any claims, promises, or guarantees about the accuracy, completeness, or adequacy of the advice, guidance and Content available through the Platform.

SPONSORS, ADVERTISERS AND THIRD PARTIES

Our Platform may contain sponsors, advertisers or third party links or applications. The content, privacy policies of these sites are not under Our control.

14. INDEMNIFICATION

To the maximum extent permitted by Applicable Law, you agree to defend, indemnify and hold NIDO HUB and its affiliates harmless against any and all claims, demands, actions, costs, expenses, liabilities arising from your use of the Platform.

INTELLECTUAL PROPERTY RIGHTS

We respect the Intellectual Property Rights of others and restrict Users from uploading materials that violate third party rights. If you are a copyright owner and believe content on the Platform infringes upon your copyrights, you may submit a notice to us at [email protected].

16. NO WARRANTIES

THE PLATFORM IS PROVIDED ON AN “AS IS” BASIS WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF TITLE, FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, NON-INFRINGEMENT OF PROPRIETARY RIGHTS.

LIMITATION OF LIABILITY

IN NO EVENT SHALL WE BE LIABLE FOR INCIDENTAL, INDIRECT, SPECIAL OR CONSEQUENTIAL LOSS OR DAMAGES. OUR LIABILITY IS LIMITED SOLELY TO DIRECT DAMAGES AND IN NO EVENT SHALL IT EXCEED THE AGGREGATE OF RS.1000.

TERMINATION

We may add or remove functionalities or features, create new limits, or temporarily or permanently suspend our Platform. Either party may terminate use at any time. Please email [email protected] for any termination inquiries.

19. REPRESENTATION AND WARRANTIES

You represent and warrant that you are permitted to use the Platform under Applicable Law, all registration information is true and accurate, and you have the necessary rights to User Content you post.

PAYMENT

Certain aspects of our Services may be provided for a fee. You agree to pay the subscription amount as set forth. You will not be entitled to refund of subscription fees upon withdrawal or termination.

PLATFORM INFORMATION

This Platform does not sell or rent the User information to any third party.

FORCE MAJEURE

We shall not be liable for any loss, damage or penalty as a result of any delay in or failure to perform due to any cause beyond Our control.

Your use of the Platform is subject to our Privacy Policy, which explains how User Data is collected, used, processed and stored.

27. MISCELLANEOUS

27.1 Governing Law and Jurisdiction: These Terms of Use is governed by the laws of India. Any claim will be made before a court of competent jurisdiction located in Noida.

27.2 No Partnership: No joint venture, partnership, employment, or agency relationship exists between You and Us.

27.3 Headings: Headings are for reference purposes only.

27.4 Severability: If any provision is held to be unenforceable, it will be reformed only to the extent necessary.

27.5 Waiver: Our failure to act with respect to a breach does not constitute a waiver.

27.6 Survival: The obligations under sections 14, 15, 16, 17 and 27 will survive any expiration or termination.

27.7 Entire Agreement: This Terms of Use constitutes the entire agreement between you and Us.
